Core E-commerce and Sales Clauses

 

  1. Acceptance of Terms (Preamble):

    • State clearly that by accessing, browsing, or using the website/store or purchasing products, the customer agrees to be bound by these T&C.

    • Include an age requirement (e.g., must be the age of majority in their jurisdiction).

  2. Product Information and Pricing:

    • Accuracy of Information: Note that while you strive for accuracy in product descriptions, colors, and images, you cannot guarantee that the user's monitor or device display will be exact.

    • Pricing: State that prices are subject to change without notice and that you reserve the right to correct pricing errors, even after an order is placed.

    • Availability: Reserve the right to limit the sales of products or services and to discontinue any product at any time.

    • Modification of Products: State that products may be slightly modified or discontinued.

  3. Orders, Payment, and Order Acceptance:

    • Order Acceptance: Reserve the right to refuse or cancel any order (e.g., due to stock issues, pricing errors, or suspicion of fraud), even after sending an order confirmation.

    • Payment Terms: Specify accepted payment methods and require current, complete, and accurate purchase and account information.

    • Taxes and Fees: Clarify that prices do not include shipping, handling, or applicable taxes/duties unless explicitly stated.

  4. Shipping, Delivery, and Risk of Loss:

    • Shipping Policy: Clearly link to or summarize your Shipping Policy, including delivery timelines, costs, and shipping methods.

    • Risk of Loss: State that the risk of loss and title for items purchased passes to the customer upon delivery of the item to the carrier.

    • Delays: Disclaim liability for any shipping delays outside of your control.

  5. Returns, Refunds, and Exchanges:

    • Policy Link: Clearly link to or summarize your detailed Return and Refund Policy.

    • Conditions: State the timeframe for returns, the required condition of the returned item (e.g., unused, in original packaging), and who is responsible for return shipping costs.

    • Exclusions: Clearly list any items that are final sale or non-returnable (e.g., custom orders, clearance items).

 

Legal and Liability Clauses

 

  1. Limitation of Liability and Disclaimers:

    • This is a crucial clause. State that the website and products are provided "as is" and "as available" without warranties of any kind.

    • Limit the maximum liability you have to the customer (e.g., to the amount paid for the product in question).

    • Disclaim liability for indirect, incidental, punitive, or consequential damages.

  2. Intellectual Property (Copyright & Trademarks):

    • State that all content on the site (text, images, logos, designs, product photography, etc.) is your property or licensed to you and is protected by copyright and trademark laws.

    • Prohibit unauthorized use, reproduction, or distribution of your content.

  3. User Conduct and Prohibited Uses:

    • Outline acceptable use of your website.

    • Prohibit illegal, fraudulent, or abusive activities (e.g., hacking, transmitting viruses, impersonation, posting defamatory content).

  4. Termination:

    • Reserve the right to suspend or terminate a user's account or access to the service for any reason, particularly for breach of the T&C.

  5. Governing Law and Dispute Resolution:

    • Specify the jurisdiction and laws that will govern the T&C (e.g., the laws of your state/country).

    • Outline the process for resolving disputes (e.g., mandatory arbitration, mediation, or small claims court).

  6. Privacy Policy Link:

    • Clearly state that your collection and use of personal information is governed by your separate Privacy Policy and provide a direct link to it.

  7. Changes to Terms:

    • Reserve the right to update or modify the T&C at any time, with new terms taking effect immediately upon posting to the website.
